This is a convenience translation. The German version (Allgemeine Geschäftsbedingungen) is legally binding.
§ 1 Scope
(1) These Terms and Conditions ("T&Cs") apply to all agreements between LensData GmbH (the "Provider") and the customer regarding the use of the SaaS platform "TenderLens".
(2) Any conflicting, deviating, or supplementary terms of the customer shall only become part of the contract if the Provider has expressly agreed to their validity.
§ 2 Subject Matter of the Contract
(1) The Provider makes the cloud-based software "TenderLens" available to the customer for searching and analyzing public tenders as Software-as-a-Service (SaaS).
(2) The exact scope of services depends on the plan chosen by the customer and the current service description.
§ 3 Conclusion of Contract and Registration
(1) The presentation of services on the website does not constitute a legally binding offer, but an invitation to submit an offer.
(2) The contract is formed upon the customer's registration and confirmation by the Provider.
§ 4 Prices and Payment
(1) Current prices are available on the website under "Pricing".
(2) All prices are exclusive of statutory value-added tax.
(3) Payment is due in advance for the respective billing period.
§ 5 Availability
(1) The Provider aims for an annual average service availability of 99.5%.
(2) Scheduled maintenance and outages due to force majeure are excluded from the availability guarantee.
§ 6 Usage Rights and Obligations
(1) For the duration of the contract, the customer receives a simple, non-transferable right to use the platform.
(2) The customer is obligated to keep their login credentials confidential and protect them from access by third parties.
§ 7 Term and Termination
(1) The contract is concluded for the term chosen by the customer (monthly or annual) and automatically renews for the same period unless terminated.
(2) Termination is possible at any time, effective at the end of the current billing period.
(3) The right to extraordinary termination for good cause remains unaffected.
§ 8 Liability
(1) The Provider is liable without limitation for intent and gross negligence.
(2) In cases of slight negligence, the Provider is only liable for breach of material contractual obligations.
§ 9 Final Provisions
(1) The laws of the Federal Republic of Germany apply.
(2) The place of jurisdiction is the Provider's registered seat, provided the customer is a merchant.
(3) Should individual provisions be invalid, the validity of the remainder of the contract shall remain unaffected.
